About the Vin65 Platform

The Vin65 platform is constantly evolving, with updates to the ecommerce, POS, and other software tools that Vin65 offers. When new features become available, they are often available to all of our clients for free, or at a nominal cost, depending on the scope of the new features.  Some new features may be available only in a specific package offered by Vin65.  Any or all of the tools are available for a live preview by contacting our office.  If you have not already, we recommend that you and your staff take a personal tour of the features with one of our platform specialists.  We can answer your questions, and highlight any areas into which you'd like to take a deeper look.  We can also provide you with a sandbox to test your winery’s needs (i.e. running a club or an email blast). Terms Of Use Policy

This Agreement is made between WineDirect, Inc., a Delaware corporation, for itself and its subsidiary, WD Ecommerce Canada, Inc., a Canadian corporation doing business as Vin65, (collectively, “Vin65”), and you, or, if you represent an entity or other organization, that entity or organization (in either case “You”).

Please read these terms of use carefully before using the services offered by Vin65.  These terms of use set forth the legally binding terms and conditions for your use of the website at www.vin65.com (the "Site") and the services, features, content, applications, websites or widgets offered by Vin65 (collectively with the site, the "Services").  The Subscription Service Agreement herein, if applicable to the User of the Service, is expressly included herein.  If you are not subscribing to the Services, the Subscription Service Agreement and it terms and conditions, do not apply to you, however, the Terms of Use Policy remains in full effect.

Acceptance Of Terms

By subscribing to and/or using the Services in any manner, including but not limited to visiting or browsing the Site, you agree to all of the terms and conditions contained herein ("Terms of Use"), and all other operating rules, policies and procedures that may be published from time to time on the Site by Vin65, each of which is incorporated by reference and each of which may be updated by Vin65 from time to time without notice to you in accordance with the terms set out under the "Modification of Terms of Use" section below.  In addition, some services offered through the Services may be subject to additional terms and conditions specified by Vin65 from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference.  These Terms of Use apply to all users of the Services, including, without limitation, users who are contributors of content, information, and other materials or services on the Site, individual users of the Service, venues that access the Services, and users that have either a fee-based or free website on the Service.  For the purposes of these Terms of Use, “Users” means you, as an individual or any other entity or organization visiting, browsing and/or availing themselves of the Services of Vin65 in any form. 

Access

Subject to these Terms of Use, Vin65 may offer to provide the Services, as described more fully on the Site, and which are selected by you, solely for your own use, and not for the use or benefit of any third party.  Services shall include, but not be limited to, any services Vin65 performs for you, any applications, websites or widgets offered by Vin65 that you download from the Site or, subject to the terms set out under the "Third Party Sites and Services" section below, from third party application stores authorized by Vin65, as well as the offering of any materials displayed or performed on or through the Services (including Content [as defined below]).

Subscribing And Eligibility

You may browse the Site and view Content without subscribing, but as a condition to using certain aspects of the Services, you are required to subscribe with Vin65 and represent, warrant and covenant that you provide Vin65 with accurate, truthful, and complete subscription information (including, but not limited to your name ("User Name"), e-mail address and company information for use with the Services) and to keep your subscription information accurate and up-to-date.

You shall not:

  • provide any false personal information to Vin65 (including a false User Name) or create any account for anyone or any entity other than yourself or your company without such person or entity's permission;
  • use a User Name that is the name of another person or entity with the intent to impersonate that person or entity;
  • use a User Name or Vin65 account that is subject to any rights of a person or entity other than you without appropriate authorization; or
  • use a User Name that is a name that is otherwise offensive, vulgar or obscene or otherwise unlawful.

Vin65 reserves the right to refuse a subscription of, or cancel a User Name in its sole discretion. You are solely responsible and liable for activity that occurs on your account and shall be responsible for maintaining the confidentiality of your Vin65 password.  You shall never use another user's account without such other user's prior express permission.  You will immediately notify Vin65 in writing of any unauthorized use of your account, or other account related security breach of which you are aware.

You represent and warrant that if you are an individual, you are of legal age to form a binding contract, or that if you are subscribing on behalf of an entity, that you are authorized to enter into, and bind the entity to, these Terms of Use and subscribe for the Services.  Vin65 may, in its sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time.  You are solely responsible for ensuring that these Terms of Use are in compliance with all laws, rules and regulations applicable to you and the right to access the Services is revoked where these Terms of Use or use of the Services is prohibited and, in such circumstances, you agree not to use or access the Site or Services in any way.

Content

Generally
All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person or entity who originated such Content.  Vin65 cannot guarantee the authenticity of any Content or data which Users may provide about themselves.  You acknowledge that all Content accessed by you using the Services is at your own risk and you will be solely responsible and liable for any damage or loss to you or any other party resulting therefrom.  For purposes of these Terms of Use, the term "Content" includes, without limitation, prices, any location information, product information, videos, comments, likes, ratings, information and data generated, provided, or otherwise made accessible by Vin65 on or through the Services.  Content added, created, uploaded, submitted, distributed, or posted to the Services by Users is collectively referred to as, "User Submissions."

Vin65 Content
The Services contain Content specifically provided by Vin65, its partners, and/or affiliates, and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws, as applicable.  You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Services.

Subject to these Terms of Use, Vin65 grants each User of the Site and/or Services a worldwide, non-exclusive, non-sublicensable and non-transferable license to use, modify and reproduce the Content, solely for personal, non-commercial use.  Use, reproduction, modification, distribution or storage of any Content for other than personal, non-commercial use is expressly prohibited without prior written permission from Vin65, or from the copyright holder identified in such Content's copyright notice, as applicable.  You shall not sell, license, rent, or otherwise use or exploit any Content for commercial (whether or not for profit) use or in any way that violates any third party right.

User Submissions
By submitting User Submissions on the Site or otherwise through the Services, you hereby do and shall grant Vin65 a worldwide, non-exclusive, royalty-free, fully paid, sublicensable and transferable license to use, copy, edit, modify, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions in connection with the Site, the Services and Vin65's (and its successors and assigns') business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) or the Services in any media formats and through any media channels (including, without limitation, third party websites and feeds).  For clarity, the foregoing license grant to Vin65 does not affect your other ownership or license rights in your User Submission(s), including the right to grant additional licenses to the material in your User Submission(s), unless otherwise agreed in writing with Vin65.

You represent and warrant that you have all rights to grant such license to us without infringement or violation of any third party rights, including without limitation, any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.

You understand that all information publicly posted or privately transmitted through the Site is the sole responsibility of the person from which such Content originated; that Vin65 will not be liable for any errors or omissions in any Content; and that Vin65 cannot guarantee the identity of any other Users with whom you may interact in the course of using the Services.
When you delete your User Submissions, they will be removed from the Services.  However, you understand that any removed User Submissions may persist in backup copies for a reasonable period of time (but following removal will not be shared with others) or may remain with Users who have previously accessed or downloaded your User Submissions.

Rules of Conduct
As a condition of use, you promise not to use the Services for any purpose that is prohibited by these Terms of Use. You are responsible for all of your activity in connection with the Services.

Prohibited Uses By way of example, and not as a limitation, you shall not (and shall not permit any third party to) either (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any Content on or through the Services, including without limitation any use of the Services, that:

  • Spam:
    • Constitutes unauthorized or unsolicited advertising, junk or bulk e-mail ("spamming") to third parties;
    • Runs any form of auto-responder or "spam" on the Service;
    • Distributes, advertises or promotes software or services that have the primary purpose of encouraging or facilitating unsolicited commercial email or spam; to solicit or collect, or distribute, advertise or promote, email address lists for the purpose of encouraging or facilitating unsolicited commercial email or spam.
  • Third Party Rights:
    • Copies material from third parties without proper authorization;
    • Misappropriates or infringes any patent, trademark, trade secret, copyright, right of publicity or other intellectual property right of any other person or entity or violates any law or contractual duty.
  • Illegal or Harmful:
    • Is unlawful, threatening, abusive, harassing, deceptive, fraudulent, tortious, obscene, vulgar, pornographic, offensive, profane, contains or depicts nudity, contains or depicts sexual activity, or is otherwise inappropriate as determined by Vin65 in its sole discretion;
    • Traffics in illegal drugs, illegal gambling, obscene materials or any other products or services that are prohibited under applicable law;
    • Is knowingly false, misleading, untruthful or inaccurate.
  • Privacy:
    • Publishes or disseminates information that (a) constitutes slander, libel or defamation, (b) publicizes the personal information or likeness of a person with that person’s consent, or (c) otherwise violates or is invasive of the privacy rights of any person;
    • Impersonates any person or entity, including any employee or representative of Vin65;
    • Includes anyone's identification documents or sensitive financial information.
  • Network Disruption and Viruses:
    • Contains or distributes software viruses or any other computer codes, files, worms, Trojan horse, logic bombs or programs that are designed or intended to disrupt, disable, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Vin65 or any third party;
    • Take any action that imposes or may impose (as determined by Vin65 in its sole discretion) an unreasonable or disproportionately large load on Vin65's (or its third party providers') infrastructure;
    • Causes denial of service attacks against VIN65 or other network hosts or Internet users or to otherwise degrade or impair the operation of VIN65’s servers and facilities or the servers and facilities of other network hosts or Internet users;
    • Post messages or software programs that consume excessive CPU time or storage space;
    • Offer mail services, mail forwarding capabilities, POP accounts or autoresponders other than for the User’s own account;
    • Resells access to CGI scripts installed on Vin65 servers;
    • Subverts, or assists others in subverting, the security or integrity of any of Vin65’s systems, facilities or equipment;
    • Gains unauthorized access to the computer networks of Vin65 or any other person;
    • Provides passwords or access codes to persons not authorized to receive such material by the operator of the system requiring the password or access code;
    • (a) Forge the signature or other identifying mark or code of any other person, (b) impersonates or assumes the identity of any other person, or (c) engages in any other activity (including “spoofing”) to attempt to deceive or mislead other persons regarding the true identity of the User (excluding the use of anonymous remailers or Internet nicknames);
    • Conducts port scans or other invasive procedures against any server (except on servers for which the User is an authorized system administrator);
    • Use manual or automated software, devices, or other processes to "crawl" or "spider" any page of the Site;
    • Harvest or scrape any Content from the Service.
  • Against Vin65:
    • Users may not use the Services in any manner that might subject Vin65 to unfavorable regulatory action, to any liability for any reason, or adversely affect Vin65 public image, reputation or goodwill, including, without limitation sending or distributing sexually explicit, hateful, vulgar, racially, ethnically or otherwise objectionable materials as determined by Vin65 in its sole discretion.
    • Decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service (including without limitation any application or widget), except to the limited extent applicable laws specifically prohibit such restriction:
    • Modify, translate, or otherwise create derivative works of any part of the Service;
    • Copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder;
    • Other than appropriate use of an Add-to Link, involves commercial activities (whether or not for profit) and/or sales without Vin65's prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
    • Otherwise take any action in violation of Vin65's guidelines and policies.

Vin65 has a zero-tolerance policy against child pornography, and will terminate and report to the appropriate authorities any user who publishes or distributes child pornography.  You shall abide by all applicable local, state, national and international laws and regulations.

Vin65 has no obligation to monitor the Site, Service, Content, or User Submissions.  However, Vin65 reserves the right to (i) remove, suspend, edit or modify any Content in its sole discretion, including without limitation any User Submissions at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Vin65 is concerned that you may have violated these Terms of Use), or for no reason at all and (ii) to remove, suspend or block any User Submissions from the Service.  Vin65 also reserves the right to access, read, preserve, and disclose any information as Vin65 reasonably believes is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to User support requests, or (v) protect the rights, property or safety of Vin65, its Users and the public.

Notifications And Service Messages

You agree that we may provide notices to you via banners on the Service, or an email sent to an address you provided, or through other means. You agree to keep your contact information up to date.  If the contact information you provide isn't up to date, you may miss out on these notices.  Please review your settings regularly to control and limit what kind of messages you receive from us.

Termination

Vin65 may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your subscription.  If you wish to terminate your account, you may do so by following the instructions on the Site.  Any fees paid hereunder are non-refundable.  All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Warranty Disclaimer

Save to the extent required by law, Vin65 has no special relationship with or fiduciary duty to you.  You acknowledge that Vin65 has no control over, and no duty to take any action regarding:  which Users gain access to the Service; what Content you access via the Service; what effects the Content may have on you; how you may interpret or use the Content; or what actions you may take as a result of having been exposed to the Content.
You release Vin65 from all liability for you having acquired or not acquired Content through the Service. The Service may contain, or direct you to websites containing, information that some people may find offensive or inappropriate.  Vin65 makes no representations concerning any Content contained in or accessed through the Service, and Vin65 will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Service.

VIN65, AND ITS DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUPPLIERS, PARTNERS AND CONTENT PROVIDERS DO NOT WARRANT THAT:  (A) THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.  YOUR USE OF THE WEBSITE, SERVICE, CONTENT AND ADD-TO LINK IS SOLELY AT YOUR OWN RISK. Indemnification

You shall defend, indemnify, and hold harmless Vin65, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all losses, costs, actions, claims, damages, expenses (including reasonable legal costs) or liabilities, that arise from or relate to your use or misuse of, or access to, the Site or otherwise from your User Submissions, violation of these Terms of Use, or infringement by you, or any third party using the your account, of any intellectual property or other right of any person or entity (save to the extent that a court of competent jurisdiction holds that such claim arose due to an act or omission of Vin65).  Vin65 reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Vin65 in asserting any available defences.

Limitation of Liability

ALL LIABILITY OF VIN65, ITS DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS HOWSOEVER ARISING FOR ANY LOSS SUFFERED AS A RESULT OF YOUR USE THE SITE, SERVICE, CONTENT, USER SUBMISSIONS OR ADD-TO LINK IS EXPRESSLY EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW, SAVE THAT, IF A COURT OF COMPETENT JURISDICTION DETERMINES THAT LIABILITY OF VIN65, ITS DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS (AS APPLICABLE) HAS ARISEN, THE TOTAL OF SUCH LIABILITY SHALL BE LIMITED IN AGGREGATE TO ONE MONTH’S FEES INCURRED BY USER COMMENSURATE TO THE FEES FOR THE MONTH IMMEDIATELY PRECEDING THE MONTH IN WHICH THE CLAIM AROSE.

IN NO EVENT SHALL VIN65, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY OR OTHERWISE (AND WHETHER OR NOT VIN65, ITS DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS HAD PRIOR KNOWLEDGE OF THE CIRCUMSTANCES GIVING RISE TO SUCH LOSS OR DAMAGE) WITH RESPECT TO THE SITE, SERVICE, CONTENT, USER SUBMISSIONS OR ADD-TO LINK FOR INDIRECT OR CONSEQUENTIAL LOSSES OR DAMAGES; LOSS OF ACTUAL OR ANTICIPATED PROFITS; LOSS OF REVENUE; LOSS OF GOODWILL; LOSS OF DATA; LOSS OF ANTICIPATED SAVINGS; WASTED EXPENDITURE; OR COST OF PROCUREMENT OF SUBSTITUE GOODS OR SERVICES.

NOTHING IN THESE TERMS OF USE SHALL BE DEEMED TO EXCLUDE OR LIMIT YOUR LIABILITY IN RESPECT OF ANY INDEMNITY GIVEN BY YOU UNDER THESE TERMS OF USE.

SOLELY IN RESPECT OF USERS LOCATED IN EUROPEAN ECONOMIC AREA (EEA) AND/OR AUSTRALIA, NOTHING IN THESE TERMS OF USE SHALL BE DEEMED TO EXCLUDE OR LIMIT OUR OR YOUR LIABILITY (AS APPLICABLE) IN RESPECT OF DEATH OR PERSONAL INJURY ARISING AS A RESULT OF OUR OR YOUR NEGLIGENCE (AS APPLICABLE); FRAUD (INCLUDING FRAUDULENT MISREPRESENTATION), THEFT OR OTHER CRIMINAL ACTIVITY; OR ANY BREACH OF ANY OBLIGATIONS IMPLIED BY SECTION 12 OF THE SALE OF GOODS ACT 1979 OR SECTION 2 OF THE SUPPLY OF GOODS AND SERVICES ACT 1982.

Dispute Resolution; Governing Law

A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.  You and Vin65 agree that any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.
Except for users located in the EEA and/or Australia, the following arbitration and governing law provisions shall apply:

These Terms of Use shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts of law rules, and the United States of America.  Any dispute arising from or relating to the subject matter of these Terms of Use shall be finally settled by arbitration in the County of San Francisco, California, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Arbitration Rules and Procedures of JAMS.  The prevailing party in any arbitration or other proceeding arising under these Terms of Use shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys' fees, expert witness fees and all other expenses) incurred in connection therewith.  Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be.  Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.  For all purposes of these Terms of Use, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts or state courts located in the Northern District of California.  Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation, this section.

Solely in respect of users located in the EEA and/or Australia, the following governing law provisions shall apply:  These Terms of Use and any disputes or claims arising out of or in connection with it shall be governed by, and construed in accordance with, the laws of Canada.  All disputes or claims arising out of or relating to these Terms of Use shall be subject to the exclusive jurisdiction of the Canadian Courts to which the Parties irrevocably submit.

Integration; Severability

These Terms of Use are the entire agreement between you and Vin65 with respect to the Service and use of the Site, Service, Content or User Submissions and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Vin65 with respect to the Site.  If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will otherwise remain in full force and effect and enforceable.  The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Modification Of Terms Of Use

Vin65 reserves the right, at its sole discretion, to modify or replace any of these Terms of Use, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Site or by sending you notice through the Service or via email.  Vin65 may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.  It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

Cancellation Of The Terms Of Use

In respect of Users located in the EEA who wish to receive Services, and/or provide User Submissions, and/or provide or access Content via the Site, such Users may have a right to cancel these Terms of Use under the European Distance Selling Directive (97/7/EC) ("Directive") within 7 days of accepting these Terms of Use solely to the extent such right applies under the Directive to such Users, save that if such right to cancel applies, it shall cease to exist from the time of actual use of the Services, and/or provision of the User Submissions, and/or provision or access of Content via the Site by such Users.

Miscellaneous

Vin65 shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Vin65's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference).  These Terms of Use are personal to you, and are not assignable, transferable or sublicensable by you except with Vin65's prior written consent. Vin65 may assign, transfer or delegate any of its rights and obligations hereunder without consent.  No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use and neither party has any authority of any kind to bind the other in any respect.
Unless otherwise specified in these Term of Use, all notices under these Terms of Use will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

Solely in respect of Users located in the EEA and/or Australia, in respect of these Terms of Use and your use of this Site, Service, Content or User Submissions, nothing in these Terms of Use shall be deemed to grant any rights or benefits to any person, other than us and you (and our and your respective successors in title or assignees), or entitle any third party to enforce any provision hereof, and we and you agree that we do not intend that any provision of these Terms of Use should be enforceable by a third party by virtue of the Contracts (Rights of Third Parties) Act 1999.

Language

Where Vin65 has provided you with a translation of the English language version of these Terms of Use, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with Vin65.
If there is any contradiction between what the English language version of these Terms of Use says and what a translation says, then the English language version shall take precedence.
 

Subscriber Service Agreement

 


This Services Agreement (“Agreement”) applies to business customers who become subscribers and governs your purchase and use, in any manner, of all subscription services (the “Services”) provided by WineDirect, Inc., a Delaware corporation, for itself and its subsidiary, WD Ecommerce Canada, Inc., a Canadian corporation doing business as Vin65, (collectively, “Vin65”), and any of its affiliates.

You must accept the terms of this Agreement in order to use the Services.  If you choose not to become a subscriber of Vin65 Services, this Agreement is not applicable to you as a User, however the Terms of Use Policy remains in effect.

NOTWITHSTANDING, BY BECOMING A SUBSCRIBER AND USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS.

Vin65 reserves the right to change or modify any of the terms and conditions contained in this Agreement and any policy or guidelines incorporated by reference at any time in its sole discretion.  Any changes or modification will be effective upon prominently posting the revisions on the Vin65 Web site (the “Site”) and sending e-mail notifications to your e-mail address on record.  Your continued use of Services following Vin65’s posting of any changes or modifications will constitute your acceptance of such changes or modifications.  “Content” means all text, pictures, sound, graphics, video, links, and other data stored by you on Vin65’s server computers.

Services

Vin65 will provide dedicated or shared server computers with an Internet address for storage and access of the Site.  The storage space provided is limited to 500MB.  In addition, Vin65 will provide bandwidth up to 500MB for accessing the Site.  You understand that Vin65’s servers are for deployment only, not application development.  All application testing must be done on your equipment prior to use on Vin65’s servers.  The Site and Content must be “server-ready.”  If your material does not meet this condition, Vin65 has the option at any time to reject this material. Vin65 will notify you of its refusal of the material and afford you the opportunity to amend or modify the material to bring it to the appropriate level.  Vin65 will provide hosting services for the Site that meet reasonable commercial standards for, among other matters, packet loss, accessibility, latency, availability, and throughput.  If you require additional bandwidth or storage, Vin65 will, in good faith, try to provide it at Vin65’s current rates unless Vin65’s server computers cannot accommodate the requested bandwidth or storage.  You agree that use of the Services under this Agreement will not exceed the bandwidth and storage usage limits set out.  You will be charged additional charges for any excess usage above the agreed upon monthly bandwidth.

Vin65 will take commercially reasonable steps to prevent unauthorized access to the Site, Content, and Confidential Information stored on Vin65’s server computers.

If requested by you, Vin65 will deliver to you in electronic form the Server Log of Site activity.  You will be entitled to one month of log storage free of charge.  Vin65 may, at its option, charge a fee for additional space required to store oversized logs.

Vin65 may not have a current backup of your files.  Due to power interruptions, “down time” and/or other factors beyond Vin65’s control or due to any computer or software malfunction, your data may be lost by Vin65.  Therefore, you are responsible for backing up your own files.  Vin65 shall not be responsible or liable for lost data.

Term

This Agreement shall be perpetual, effective when you register for the Services.  Any notice of termination will be effective following thirty (30) days after receipt.  You are liable for the full month’s fee, even if the Service is terminated before the end of the month for any reason.

Termination

Either party may terminate this Agreement at any time and for any reason by providing written notice thirty (30) days prior to the date of termination.

46Brix Cancellation
You may cancel this program at any time and for any reason. With 48 hours of written cancellation notice, we will remove the 46Brix program from your website. You must honor any 46Brix memberships generated on your website for the life of that membership. All of your 46Brix memberships will be transferred over to the 46Brix website so that members can still use their membership number and 46Brix benefits on the wineries that remain a part of the program during their membership.

Use of the Service

You may not use the Services or the Site in any manner that violates Vin65’s then current Terms of Use Policy.  The Terms of Use Policy is incorporated into this Agreement and continued use of the Service manifests assent to be bound by it.
Vin65 maintains and controls ownership of all IP numbers and addresses that may be assigned to you, and it reserves, at its sole discretion, the right to change or remove any and all IP numbers and addresses.

Enforcement

You understand that Vin65 may, at its discretion, conduct periodic reviews of your website content. Vin65 may take immediate corrective action if it becomes aware of any possible violation by you of this Agreement, any related policies or guidelines, third party rights, or laws, which, in Vin65’s sole discretion, may violate or infringe any law or third-party rights or which otherwise exposes or potentially exposes Vin65 to civil or criminal liability or public ridicule.  First violations of this Agreement in regard to content will result in your website being taken offline until the content complies fully with the Agreement’s regulations. A second violation of this Agreement will result in your account being terminated and the website being deleted from Vin65’s servers with no refund due you for any pre-paid service time. All amounts due for the billable contract period will be due upon termination.  Vin65’s right to take corrective action, however, does not obligate us to monitor or exert editorial control over the information made available for distribution via the Services.

To comply with applicable laws and lawful governmental requests, to protect Vin65’s systems and customers, or to ensure the integrity and operation of Vin65’s business and systems, Vin65 may access and disclose any information it considers necessary or appropriate, including, without limitation, user profile information (i.e., name, e-mail address, etc.), IP addressing and traffic information, usage history, and content residing on Vin65’s servers and systems.  Vin65 also reserves the right to report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties.

Content

Vin65’s policies pertaining to the use in any manner, the grant of licenses, and the ownership rights to Content are governed by our Terms of Use Policy above, which is expressly incorporated herein, and in the Vin65 Privacy Policy.

Warranty Disclaimer

Vin65 is not responsible in any manner for any nonconforming Services to the extent caused by you or your customers.  In addition, Vin65 is not responsible for loss or corruption of data in transmission, or for failure to send or receive data due to events beyond Vin65’s reasonable control.

Vin65 provides no equipment, software, or communication connections to you.  Vin65 makes no representations, warranties or assurances that your equipment, software, and communication connections will be compatible with Vin65’s hardware and service.

ALL SERVICES, SYSTEMS AND PRODUCTS PROVIDED BY VIN65 UNDER THIS AGREEMENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. YOU ACKNOWLEDGE AND AGREE THAT VIN65 EXERCISES NO CONTROL OVER, AND ACCEPTS NO RESPONSIBILITY FOR, THE CONTENT OF THE INFORMATION PASSING THROUGH VIN65’S COMPUTERS, NETWORK HUBS AND POINTS OF PRESENCE, OR THE INTERNET. VIN65 DOES NOT WARRANT THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR COMPLETELY SECURE, AND DOES NOT MAKE ANY WARRANTIES WITH RESPECT TO PATENT, COPYRIGHT, TRADE SECRET OR TRADEMARK INFRINGEMENT.  ALL SERVICES PERFORMED UNDER THIS AGREEMENT ARE PERFORMED “AS IS” AND WITHOUT WARRANTY AGAINST FAILURE OF PERFORMANCE INCLUDING, WITHOUT LIMITATION, ANY FAILURE DUE TO COMPUTER HARDWARE OR COMMUNICATION SYSTEMS.  EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, VIN65 DOES NOT MAKE AND HEREBY DISCLAIMS, AND YOU HEREBY WAIVE ALL RELIANCE ON, ANY REPRESENTATIONS OR WARRANTIES, ARISING BY LAW OR OTHERWISE, REGARDING THE SERVICES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR CONDITIONS OF QUALITY, AND ANY WARRANTIES WITH RESPECT TO PATENT, COPYRIGHT, TRADE SECRET OR TRADEMARK INFRINGEMENT.

Your Warranties

You warrant to Vin65 that (a) you are at least eighteen (18) years of age or are a duly organized and validly existing entity; (b) you possess the legal right and ability to enter into this Agreement; (c) you will use the Services only for lawful purposes and in accordance with this Agreement and all applicable policies and guidelines; (d) you will be financially responsible for the use of your account; (e) you have acquired or will acquire all authorization(s) necessary for hypertext links to third-party Web sites or other content; (f) you have verified or will verify the accuracy of materials distributed or made available for distribution via the Services, including, without limitation, your content, descriptive claims, warranties, guarantees, nature of business, and address where business is conducted, and (g) your content and/or any software that you install or provide does not and will not infringe or violate any right of any third party (including any intellectual property rights) or violate any applicable law, regulation or ordinance.

Limitation of Liability

IN NO EVENT SHALL VIN65 HAVE ANY LIABILITY WHATSOEVER FOR DAMAGE, UNAUTHORIZED ACCESS TO, ALTERATION, THEFT OR DESTRUCTION OF INFORMATION PROVIDED TO VIN65, DISTRIBUTED OR MADE AVAILABLE FOR DISTRIBUTION VIA THE SERVICES.  VIN65 SHALL HAVE NO LIABILITY UNDER THIS AGREEMENT OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES EVEN IF VIN65 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ANY EVENT, THE LIABILITY OF VIN65 TO YOU FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID TO VIN65 BY YOU UNDER THIS AGREEMENT DURING THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH SUCH CLAIM ACCRUED.  THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, TO BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATIONS, AND OTHER TORTS. THE FEES FOR THE SERVICES SET BY VIN65 UNDER THIS AGREEMENT HAVE BEEN AND WILL CONTINUE TO BE BASED UPON THIS ALLOCATION OF RISK.  ACCORDINGLY, YOU HEREBY RELEASE VIN65 FROM ANY AND ALL OBLIGATIONS, LIABILITIES, AND CLAIM IN EXCESS OF THE LIMITATION STATED IN THIS SECTION.  BECAUSE SOME STATES DO NOTALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

You acknowledge and agree that Vin65 will not be liable for any temporary delay, outages or interruptions of the Services.  Further, Vin65 shall not be liable for any delay or failure to perform its obligations under this Agreement, where such delay or failure results from any Act of God or other cause beyond its reasonable control (including, without limitation, any mechanical, electronic, communications or third-party supplier failure).

You acknowledge and agree that Vin65 reserves the right to temporarily suspend services for the purposes of maintaining, repairing, or upgrading its systems and network.  Vin65 will use best efforts to notify you of pending maintenance; however, Vin65 is under no obligation to inform you of such maintenance.

Indemnification

You will defend, indemnify and hold Vin65 harmless and its officers, directors, shareholders, employees, consultants, agents, affiliates and suppliers (an “Indemnitee”) from any and all threatened or actual claims, demands, causes of action, suits, proceedings, losses, damages, fines, penalties, liabilities, costs and expenses of any nature, including attorneys’ fees and court costs, sustained or incurred by or asserted against any Indemnitee by any person, firm, corporation, governmental authority, partnership or other entity by reason of or arising out of or relating to:  (i) your violation or breach of any term, condition, representation or warranty of this Agreement or any applicable policy or guideline; (ii) your conduct, including but not limited to your negligence, gross negligence, or willful misconduct; (iii) your use of the Services, including any improper or illegal uses; (iv) any claim by a former employee of yours whose employment has been or may be terminated in connection with or as a result of the execution of this Agreement and performance of the Services by Vin65; (v) any claim relating to your services or products, or your installation and/or use of any third-party software, including but not limited to advertising, product liability claims or infringement of any trademark, copyright, patent, trade secrets or non-proprietary right of a third party (including, without limitation, defamation, libel, or violation of privacy or publicity); or (vi) any compromise of your website security or encryption.

General

Confidentiality
The parties each agree that all Confidential Information (as defined below) communicated to it by the other is done so in confidence and will only be used consistent with the terms of this Agreement.  “Confidential Information” means all information in any form, including, without limitation, printed or verbal communications and information stored in printed, optical or electromagnetic format, which relates to the Services; or computer, data processing or electronic commerce programs and software; electronic data processing applications, routines, subroutines, techniques or systems; information concerning business or financial affairs, product pricing, financial conditions or strategies, marketing, technical systems of either party; or any information concerning vendors of either party; or any data exchange between a party and any vendors.  Exceptions to Confidential Information include (1) information in the public domain; (2) information developed independently by a party without reference to information disclosed under this Agreement; or (3) information received from a third party without restriction and/or breach of this or a similar Agreement. It is not a violation of this provision to disclose Confidential Information in compliance with any legal, accounting or regulatory requirement beyond the control of either party or, but in such case, prior to disclosure, the disclosing party shall give written notice to the other party to permit that party an opportunity to challenge such disclosure.  If either party is subpoenaed, such party shall give written notice to the other party to permit that party an opportunity to challenge the disclosure of Confidential Information.  Upon the termination of this Agreement and upon written request of the disclosing party, each party shall promptly return all Confidential Information of the other party.  This provision shall survive the termination of this Agreement for two (2) years.

Notices
All notices, reports, requests, or other communications given under this Agreement shall be made in writing, shall be delivered by hand delivery, overnight courier service, fax, or electronic mail, shall be deemed to have been duly given when delivered.

Choice of Law and Forum
THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF CALIFORNIA, WITHOUT REFERENCE TO RULES GOVERNING CHOICE OF LAWS. ANY ACTION RELATING TO THIS AGREEMENT MUST BE BROUGHT IN THE FEDERAL OR STATE COURTS LOCATED IN THE COUNTY OF SAN FRANCISCO, CALIFORNIA, AND YOU CONSENT TO THE JURISDICTION OF SUCH COURTS.

Entire Agreement
This Agreement and all policies and guidelines incorporated in this Agreement by reference constitutes the entire Agreement of the parties and may not be modified or altered orally but only by an agreement in writing signed by both parties.

No Fiduciary Relationship
No agency, partnership, joint venture, or employment relationship is created by this Agreement and neither party has the power to bind the other party.

Assignments
You may not transfer or assign your rights, duties, or obligations under this Agreement without Vin65’s prior written consent. Vin65 may assign its rights and obligations under this Agreement and may utilize affiliate and/or agents in performing its duties and exercising its rights under this Agreement, without your consent.  Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assignees.

No Waiver
Vin65’s failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of Vin65’s right to subsequently enforce such provision or any other provisions under this Agreement.

Severability and Survivability
If any provision of this Agreement is deemed invalid or unenforceable in whole or in part, that provision shall be severed or shall be enforced only to the extent legally permitted, and the remainder of the provision and the Agreement shall remain in full force and effect.  If any provision of this Agreement is deemed to be invalid or unenforceable only with respect to a particular application, such term or provision shall remain in full force and effect with respect to all other applications.  All provisions of this Agreement relating to your warranties, limitation and exclusion of liability, your indemnification obligations and payment obligations shall survive the termination or expiration of this Agreement.

Security
Vin65 shall establish computer security policies and procedures designed to ensure the:

  1. Security and integrity of your Confidential Information;
  2. Protection against anticipated threats or hazards to the security or integrity of your Confidential Information; and
  3. Protection against the unauthorized access or use of your Confidential Information.

Email Policy

This policy (“Policy”) applies to all email and other communications (“Email”) generated or sent through the services provided by Vin65, whether through the Vin65 platform tools or through any other vendors that Vin65 uses to send email. By generating or sending email through Vin65's platform, you agree to comply with this policy. Vin65 may suspend or terminate your access to and use of the platform tools if you do not comply with this policy. Your use of the Vin65 platform must comply with all applicable laws. This includes laws applicable to you and also laws applicable to Vin65 and the recipient of each Email. Examples of applicable laws include laws relating to spam or unsolicited commercial email (UCE), privacy, security, obscenity, defamation, intellectual property, pornography, terrorism, homeland security, gambling, child protection, and other applicable laws. It is your responsibility to know and understand the laws applicable to your use of the Vin65 platform and the Emails you generate and send through the Vin65 platform.

This Policy is a part of and incorporated into the terms and conditions applicable to the Vin65 platform. It is your responsibility to read and understand the all terms and conditions applicable to your use of the Vin65 platform and the Emails you generate and send through the Vin65 platform. Your use of the Vin65 platform must follow all applicable guidelines established by Vin65. The guidelines below are examples of practices that may violate this Policy when generating or sending Emails through the Services:

  • Using non-permission based Email lists (i.e., lists in which each recipient has not explicitly granted permission to receive Emails from you by affirmatively opting-in to receive those Emails).
  • Using purchased or rented Email lists.
  • Using third party email addresses, domain names, or mail servers without proper permission.
  • Sending Emails to non-specific addresses (e.g., webmaster@domain.com or info@domain.com).
  • Sending Emails that result in an unacceptable number of spam or UCE complaints (even if the Emails themselves are not actually spam or UCE).
  • Failing to include a working "unsubscribe" link in each Email that allows the recipient to remove themselves from your mailing list.
  • Failing to comply with any request from a recipient to be removed from your mailing list within 10 days of receipt of the request.
  • Failing to include in each Email a link to the then-current Privacy Policy applicable to that Email.
  • Disguising the origin or subject matter of any Email or falsifying or manipulating the originating email address, subject line, headers, or transmission path information for any Email.
  • Failing to include in each Email your valid physical mailing address or a link to that information.
  • Including "junk mail," "chain letters," "pyramid schemes," incentives (e.g., coupons, discounts, awards, or other incentives) or other material in any Email that encourages a recipient to forward the Email to another recipient.

If you know of or suspect any violations of this Policy, please notify Vin65 at info@vin65.com. Vin65 will determine compliance with this Policy in its sole discretion.

SMS/Texting

What is required on my short code Terms of Service page and Privacy Policy? The following guidelines are based on carrier conditions of short code service and other industry standards. Your company is required to comply with these guidelines in the use of any Vin65-provided number. Please note: each carrier reserves the right to suspend short code service for any user at any time. US mobile carriers require a Terms of Service page and a Privacy Policy for each short code program. Please note: All instances of “HELP” and “STOP” on your Terms of Service page must be in bold text to be compliant.

What are the requirements for US short code advertisements and opt-in forms? The following guidelines are based on carrier conditions of short code service and other industry standards. Your company is required to comply with these guidelines in the use of any provided short code. Please note: each carrier reserves the right to suspend short code service for any user at any time. Carriers require that certain information be included wherever the short code is advertised, or wherever users are invited to opt in to receive messages from the short code. This includes any paper form or web page through which the end user submits their phone number and will receive a message from a short code as a result. Advertisements and opt-in forms are also known as Calls to Action, or CTAs. The wording of your short code CTA will vary depending on the sign up method, since it tells users how to opt into a short code campaign. An SMS keyword Call to Action, for example, should look like this:

Text {Keyword} to ##### to sign up for alerts.

For all sign up methods, the following language must appear wherever the short code is advertised (on the web, in print, etc.):

Message and data rates may apply. {Message frequency}. Text HELP to ##### for help. Text STOP to ##### to cancel. For terms: {URL to SMS terms of service}. For privacy: {URL to privacy policy}

Keep the following points in mind when writing your Call to Action:

Message frequency must be specific, for example: “1 message/day” or “4 messages/month.” If the message frequency will vary, it must be user-prompted (for example, “1 message/user request”).

Vin65 provides sample compliant terms and privacy language, which can be integrated directly into an existing terms page.

HELP” and “STOP” must appear in bold.

You may also wish to review the CTIA’s Mobile Commerce Compliance Handbook and the MMA’s Best Practices Guide. Please note that Vin65 is cannot, and will not, interpret any laws, rules, or regulations and is providing this information only as a courtesy.  It is very important that customers seek their own legal counsel for any questions about how the CTIA and other laws will apply to a company’s specific practices.

What are the requirements for short code HELP and STOP messages? Wireless carriers require certain information to be included in HELP and STOP message content for all US short codes. Vin65 recommends including that information in the following format for your HELP and STOP messages to be considered compliant if your short code is tested by a carrier. The following guidelines are based on carrier conditions of short code service and other industry standards. Your company is required to comply with these guidelines in the use of any provided short code. Please note: each carrier reserves the right to suspend short code service for any user at any time.

HELP Message

A compliant response is required whenever users text HELP to your short code, regardless of whether the user is subscribed to the program. Example:

  • End user: HELP or INFO
  • Short code: {Campaign Name} {Description} Alerts: Help at {source of help #1} or {toll free number}. Msg&data rates may apply. {Message frequency}. Text STOP to cancel.
  • The “description” should be a single word to define the kind of alerts, e.g. “Account Alerts,” “News Alerts,” “Promo Alerts,” etc.
  • The first “source of help” is preferably a support email address or a link to your terms of service.
  • The message frequency must be specific, but can be any interval, for example: “1 message per day,” “4 messages per month,” “2 messages per transaction,” etc. If the message frequency will vary based on user interaction, “1 message/user request” is standard.

STOP Message

A compliant response is required whenever users text STOP to your short code, regardless of whether the user was subscribed to the program previously. Example:

  • End user: STOP, END, QUIT, CANCEL or UNSUBSCRIBE
  • Short code: You are unsubscribed from {Campaign Name} {Description} Alerts. No more messages will be sent. Reply HELP for help or {toll free number}.

Managing Opt-Out Requests

Unlike on long codes, Vin65 does not manage opt-out requests for short codes. This allows the short code application to independently manage subscription lists and requests from end users to re-opt in. End users may be subscribed to multiple campaigns running off of one short code and may want to unsubscribe from a particular campaign. This is achieved using

STOP Filtering.

When a short code is created, a database for managing opt-in and opt-out will need to be created for it. A short code program will ask an end-user to text STOP to opt-out of all further messages from the short code. If the end-user doesn’t want to opt-out of all messages, he or she can differentiate which campaign to unsubscribe from by adding an additional keyword of STOPALL. For example:

  • End user: STOP
  • Short code: To unsubscribe from {Campaign 1} Alerts, text 1; {Campaign 2} Alerts, text 2. Text STOPALL to unsubscribe from all messages.
  • End user: 1
  • Short code: You are unsubscribed from {Campaign 1} Alerts. No more messages will be sent from this program. Reply HELP for help or {toll free number}.

  • End user: STOPALL
  • Short code: You are unsubscribed from all {Campaign} Alerts. No more messages will be sent. Reply HELP for help or {toll free number}.

46Brix

“46Brix” is a project developed by Vin65 to promote loyalty with, and repeat sales to, wine buyers. Customers visiting your website will be able to sign-up for a 46Brix membership. This is a one-year membership at a cost of $79, which auto-renews each year for the customer. If the customer is already an existing 46Brix member, they will be able to checkout using their 46Brix membership credentials on your site.

If the 46Brix customer signs up for a membership on your website, you will:

  1. Provide “prepaid” ground shipping for one year on all qualifying wine purchases. (Purchases must be 2 or more bottles to qualify).
  2. Retain the $79 purchase price for providing the “prepaid” shipping for the year.

If the 46Brix customer signups up for a membership on another website, you will:

  1. Provide “shipping included with purchase” on all wines purchased by the 46Brix customer.
  2. As payment for Vin65 program operating fees, pay us an amount equal to 25% of the purchase price of all wine purchased by the 46Brix member (provided that member was not a customer on your website in the 18 months prior to their current 46Brix membership).

Vin65 will:

  1. Provide all technology and marketing to run the 46Brix program.
  2. Provide all technology to sign-up and maintain memberships on your website.
  3. Provide reports in the Vin65 admin panel to review memberships and see purchases.
  4. Provide a monthly statement of all purchases by 46Brix members on your website.
  5. Send a monthly email to all 46Brix members reminding them of their membership and encouraging them to buy at participating wineries.
  6. Setup carrots that will trigger if the customer has 2 bottles or more of wine in their cart.
  7. Setup 46Brix images and place them on your behalf in the footer of your emails.
  8. Develop and operate a 46Brix website offering visitors the opportunity to purchase a 46Brix membership and receive the benefits indicated above.

Payment Gateway Service Agreement

The agreement is made by and between you and your gateway. It is not a direct agreement with Vin65. Vin65 is not liable for the connectivity, up-time, or service availability of your gateway. Vin65 is not accountable for any refunds, credit, or other compensation for the gateways and/or merchant account. Any grievances should be directed to your gateway.

Service And Fee Schedule

You made it this far, we're impressed. Now that we're passed all the boring, but important, legal stuff, here's that really matters - what will you be paying and how does it all fit together. This section covers what the fees are. The monthly fee begins 30 days from the day you sign up with Vin65. This fee is not dependent on the use, or launch of the Vin65 platform as you have access to all of the tools within 2 to 5 business days after sign-up. All fees are billed through credit card (Visa, MasterCard, and AMEX) and in the currency of your country (i.e. if your winery is from the USA, we'll bill you in USA; if your winery is from Canada, you'll bill you in CAD, etc.).

You agree to pay for all charges attributable to your use of the Services at the then current VIN65 prices.  VIN65 may at any time, providing thirty (30) days’ notice, amend the rates and/or charges for any future server usage and/or services.  If you do not request that your service be terminated, it will be conclusively presumed that you consent to the new terms, conditions and rates as notified.

All charges for Services must be paid in advance according to the then current prices applicable to the Services.  You must notify VIN65 of any changes to your card account (including, without limitation, applicable account number or cancellation or expiration of the account), your billing address, or any information necessary for VIN65 to obtain the monthly payment.  Returned checks and declined credit cards may incur a fee.  Overdue amounts shall accrue late charges of the lesser of one and one-half per cent (1.5%) per month or the maximum allowable under applicable law. In addition, your failure to fully pay any fees and taxes within five (5) days after the applicable due date will be deemed a material breach of this Agreement, and VIN65 may, in addition to any other remedy it may have, suspend its performance of the Services and/or terminate this Agreement.  Any such suspension or termination of the Services would not relieve you from paying past due fees plus interest.  In the event of collection enforcement, you will be liable for any costs associated with such collection, including, without limitation, reasonable attorneys’ fees, court costs and collection agency fees.  All charges are considered valid unless disputed in writing with sixty (60) days of the billing date.  Adjustments will not be made for charges that are over 60 days old.  Delinquent accounts may be suspended or cancelled at VIN65’s sole discretion; however charges will continue to accrue until the account is cancelled.

You are solely liable for any taxes or fees payable for products or services sold by you on the Site.  You are also responsible for the payment of all federal, state, and local sales, use, value-added, excise, duty and any other taxes assessed with respect to the Services, other than taxes based on VIN65’s net income.

The monthly fee includes licensing of the Vin65 platform for either the POS, ecommerce, Vin65 Plus or enterprise tools (or any number of those tools) depending on which option you choose while signing up, or upgrade/downgrade to after you signup. The ecommerce package also includes hosting, a set limit of emails sent through our system, SSL certificate, and nightly backups. If the monthly fee goes unpaid for three consecutive months, or 3 months within a 6 month period, Vin65 holds the right to cancel access to Vin65's admin panel and to remove the website from Vin65's servers and to delete all of your data in Vin65's platform. Vin65 will contact you prior to this process with both verbal (phone call) and written (email) notice.

Vin65 has the right to change the price of the ecommerce and/or POS, as well as, other services Vin65 offers at any time for any reason. This fee does not cover any fees for training or support (see the ‘Support Fees’ section below for a breakdown of those fees).

Lite Monthly Fees
This platform option includes the ecommerce and POS packages but also have a few platform limitations within those packages to keep it affordable for smaller wineries. The limitations are listed below:

  1. Up to $10,000 in transactions per month.
  2. Up to 5000 emails sent per month through Vin65's emails tool.
  3. Up to two action emails.
  4. Up to two carrot messages.
  5. No webservice account access.
  6. No VinTank social media connection.

The Vin65 lite price is $159/mo If you exceed any one of the limitations listed above, your account is automatically upgraded to the Vin65 Plus package pricing. If your account is upgraded to the Vin65 Plus account, you're not eligible for the 'lite' package or the 'lite' pricing.

Volume Pricing Limitations

Several of Vin65's packages have volume-based pricing, meaning the price level you pay may vary from month to month based on the usage of the Vin65 platform. Information on each limitation is listed below. Exceeding any one of the limits will bump your monthly fee to be in the next volume group (i.e. if in one month, you send 5001 emails, but you're selling under $25,000, and have less than 10,000 webservice calls, you would be over the email limit and you'd be bumped to the second price volume).

Transactional Limitations
The transactional limit listed in your Vin65 package includes all orders generated through Vin65's platform tools you're using (i.e. website orders, wine club orders, admin panel order, POS orders, corporate orders, etc.) but it does not include orders inserted into Vin65's system by a third party tool or import (i.e. your order history import from your previous system won't count against your limit, and a third party system like a different POS system wouldn't count against the total).

Email Limitations
The email limits listed in your Vin65 package includes emails sent through the Vin65 platform. Any email that is not a part of the 'Action Email' or 'System Email' categories are counted (i.e. newsletters, promotional email, etc. are counted but order confirmations are not). Emails beyond the highest volume limit (30,000) in your Vin65 package, are an additional $0.01 per email.

Webservice Limitations
The webservice limits listed in your Vin65 package includes all webservice call to Vin65's webservices/APIs from other vendors (i.e. a third party POS, CRM, etc.). The following 3rd party vendors are excluded from your webservice call count:

  • WineDirect Fulfillment
  • WineDirect Outbound
  • Vin65 CloudConnect RMS
  • ShipCompliant
  • VinTank

All other webservice vendor calls will count towards your limits. The number of calls your vendor makes is totally up to the vendor, and can depend on the type of connection to Vin65 for (orders, contacts, clubs, etc.) and how often they make the calls (i.e. every 15 min, 30 min, 1 hour, etc.). Webservice calls beyond the highest volume limit (50,000) in your Vin65 package are an additional $0.01 per 100 calls.

SMS Limitations
The SMS limits listed in your Vin65 package includes all emails sent and/or received through the Vin65 platform (i.e. sending a marketing text, receiving a text, order tracking texts, etc.). SMS messages sent beyond the highest volume limit (5000) in your Vin65 package, are an additional $0.02 per SMS.

If you exceed any one of the limitations listed above, your account is automatically bumped up to the next appropriate price volume. This pricing is month to month, so as your volumes go up and down each month, the price levels will also fluctuate month to month.

Setup Fees
Any/all setup fees billed by Vin65 are due as follows: 50% upon sign-up, and 50% within 30 days of sign-up. Setup fees are non-refundable once processed, but if you cancel before the second 50% of fees are due, you will not be required to pay remaining 50% to Vin65. If you're contracting a 3rd party that has setup fees, Vin65 is not responsible for billing, collection, payment of those fees in any way.

Support Fees
Support fees (phone, email, and ticket) is included in the software monthly/licensing fees and Vin65 offers a month to month 'Premium' suppot plan. Plans are month to month and cannot be set up for a specific time frame (i.e. only for 3 months). If you would like it to last for 3 months, sign up on month '1', then cancel on month '3.'

Free support includes support be the methods listed below for up to 10 hours per month. If you exceed 10 hours per month, support is billed at $100 per hour in 15 minute increments. Training is not included in free support and is also billed at $100 per hour in 1 hour increments.

Premium support, includes all of the options for free support, as well as, the list below. Monthly plans do not roll over, so any unused time in a plan at the end of a month expires. Paid options include, but are not limited to:

Any database, SQL, design, RMS, or programming work is considered 3rd level support and billed per incident at $200 per hour. We'll let you know the time needed if you're requesting a task that involved 3rd level support (it's not common, but it happens from time to time and we'll make sure you're aware before doing any of this 3rd level billable work). Your plan will kick in immediately and you'll see the change on your next invoice. Plans will auto-renew each month until you cancel it (to cancel your plan, simply sign up for the free plan).

46Brix Fees
At the time of your monthly licensing fee, Vin65 will invoice you for the 46Brix program fees accounting for all orders and new customers sent to you via the 46Brix program as well as fees due based on this agreement generated in the preceding month. The payment will be due at the time of the invoice. Failure to make the payment can result in removal from the program. 46Brix program fee is 25% of the purchase price from purchases by a 46Brix member for one year (provided that member was not a customer on your website in the 18 months prior to their current 46Brix membership). This fee is automatically added to your monthly invoice. As the winery, you must cover the cost of the ground shipping fee for orders with 2 or more bottles.

Credit Card Updater Fees
Account/Credit Card Updater fee is billed directly through Vin65. It is $1 per successful account update. It will update any/all active club members or members that are on hold. It will not update any members that are marked cancelled in Vin65.

Email Cleaning/Check Fees
Vin65 uses a tool to make sure the email addresses of your contacts are legit (i.e. that they are real, not on a spam list, etc.) and any email address that is associated with a contact inside your Vin65 platform that is not an active club member and/or does not have a purchase from your winery in Vin65's order system will be sent through the tools to be checked. An email will only be checked once and there is a $0.02 per check fee.

Designer Launch
There is no setup fee for a designer launch using the Vin65 design API. Your designer will need to create HTML and CSS for your website and can create either a responsive website or a standard website and mobile site. We recommend addressing mobile options with your designer in your design process.  HTML will be needed for the homepage, inside pages, and optionally html for club, products, cart, and other pages. The designer then embeds our javascript file (one line) at the top of the html file. The designer replaces snips of html and inserts tags. They will be able to get a live preview of the design of the website and mobile website. Once ready the designer FTPs the html along with their CSS and other assets to our server. Any support your designer would like (i.e. questions about how to use the designer tools) is billed directly to you as the client at $185 per hour. Vin65 will reach out to you before we support the designer so that you’re aware of any future design support time and costs.

Please note that Vin65 is not able to take over for an outside designer. If at any point you’d like Vin65 to implement the design, our team starts from the Photoshop file and cannot start from existing code (most of the time it’s faster this way instead of looking though other firm’s code to see what needs to be complete). The project starts over as a supplied design and we can give you a customized quote. Vin65 does not support all methods of deployment so the design is expected to reach out and talk with both the winery, and Vin65's team, about any development items that our beyond the regular designer launch tools set (java, jquery, iframes, etc.).

Supplied Design
You can provide Vin65 with your finished website and mobile website design in a Photoshop file to our implementation team to slice it into HTML/CSS for our platform. If it’s a brand new website or a re-design of an existing site, you’ll have a staging/development site to preview your site before you’d like it to go live.

If you have a completed design, whether that be your current website design you’re happy with, or a new Photoshop file a designer created for you, the Vin65 team can take that design and implement it onto the Vin65 platform; these options are outlined in detail below. Any website design supplied to Vin65 will be designed responsively. This involves creating optimized layouts for desktop, tablet and smart phone viewing and a site with a single URL that will adapt to the best layout for the screen size viewing the site. Note that only the layouts of the design are implemented/created on Vin65 from a supplied design. Vin65 does not add any content and/or images on the design that is supplied; the content/data will need to be added by either you or your design firm.

Photoshop File - If you are working with a designer to create a new website, the design firm is expected to have one or more conversations with our implementation team to discuss the functional elements needed to work within the Vin65 platform. This option is ideal for designers with time shortage or who don't prefer to create their own html. The designer would supply the final set of layered Photoshop files to Vin65 for the desktop, tablet and mobile version for the site; the supplied files are treated as the final approved design. Vin65 bills $200 per hour for any changes made to the supplied design after it’s supplied. For more information on the functional elements of a supplied design, have your designer reference our documentation website.

Current Website
If you’re happy with your current website’s look and feel, Vin65 can move your existing website onto the Vin65 platform. Existing website content, products, contacts, etc. would not be transferred but Vin65 will work to match the look and feel of your current website as closely as possible. In many cases, it is necessary to make some minimal changes to your existing design in order to work it into the Vin65 functionality. Website Templates
The initial setup fee for a template is determined by the template you select. If the template is $0, there is not template setup fee. If there is a cost for the template, the payments are 50% upon signup and 50% in 30 days. Some of the template designs are created by Vin65, and some are created by external design firms. If the template is created by Vin65, you have access to the HTML and CSS to make changes to the website layouts. If the template is created by an external design firm, they may not offer HTML and CSS access. Templates are used ‘as-is’ and any updates needed are not included in the setup costs (we do upload your logo for you, but you would make all other changes yourself). The use of the template is exclusive to use on Vin65’s platform and if you leave, you do not own the design.

46Brix Fees
At the time of your monthly licensing fee, Vin65 will invoice you for the 46Brix program fees accounting for all orders and new customers sent to you via the 46Brix program as well as fees due based on this agreement generated in the preceding month. The payment will be due at the time of the invoice. Failure to make the payment can result in removal from the program. 46Brix program fee is 25% of the purchase price from purchases by a 46Brix member for one year (provided that member was not a customer on your website in the 18 months prior to their current 46Brix membership). This fee is automatically added to your monthly invoice. As the winery, you must cover the cost of the ground shipping fee for orders with 2 or more bottles.

Credit Card Updater Fees
Account/Credit Card Updater fee is billed directly through Vin65. It is $1 per successful account update. It will update any/all active club members or members that are on hold. It will not update any members that are marked canceled in Vin65.

Email Cleaning/Check Fees
Vin65 uses a tool to make sure the email addresses of your contacts are legit (i.e. that they are real, not on a spam list, etc.) and any email address that is associated with a contact inside your Vin65 platform that is not an active club member and/or does not have a purchase from your winery in Vin65's order system will be sent through the tools to be checked. An email will only be checked once and there is a $0.02 per check fee.

Cancellation Fees
There is a fee associated with exporting your club members’ credit card data (we must pass it to a PCI Compliant vendor). This fee is $200/hour and typically takes, but is not limited to, three to four hours. If you don't need that data, there is no fee for you to cancel.

Privacy Policy

This Privacy Policy describes the information, including personally identifiable information, Vin65 collects when you sign up for, use, access or otherwise interact with any Vin65 applications, products, services, or websites (collectively, “Services”), how we use and share that information, and your options. This policy applies to you, including visitors, users, and to winery clients (“Clients”), unless specified otherwise herein.  It applies to all information we collect through our Services, even if you have not signed up for a Vin65 account or downloaded one of our applications. This policy does not, however, describe the practices of third parties that may collect information from you when you interact with them, including Clients that use Vin65 to accept payment for goods or services. We encourage you to ask them about their privacy practices before providing any information to them. To the extent any portions of the following policy are inconsistent with applicable law or regulations, or to the extent you provide your express consent for uses not specifically described herein, then such laws or regulations, or your express consent, will govern Vin65’s use of your information.

Collection Of Information

Information You Provide
We collect information you provide, such as when you sign up for a Vin65 account, in the course of a transaction, or merely when you access our applications, websites, documentation, or Services. We may collect, but are not limited to collecting, the following:  basic user information such as your name, email address, mailing address, phone number, birth date; personal interests or preferences; or purchases or use of our Client’s products or services. Vin65 may collect financial information from or about you, including bank account and payment card numbers and expiration dates; and other historical, contact, and demographic information relevant to responding to your inquiries and providing services to you, our Clients, or third parties with whom we do business.  Vin65’s policy is not to request or collect especially sensitive personally identifiable information, such as religious preferences, racial or ethnic background or other similar forms of data.

We also collect information when Client’s upload or send information to or through the Services about their products and services (including inventory, pricing and other data), or when you participate in contests or promotions offered by Vin65 or our partners, respond to our surveys, or otherwise communicate with us.

Information We Collect from Your Use of the Services
We collect information about you when you use our Services, including as follows:

When you use our Services to make or accept payments or money transfers, we collect information about when and where the transactions occurred, a description of the transactions, the payment or transfer amounts, billing and shipping information, and information about the devices and payment methods used to complete the transactions.

When one of our applications is open on your mobile device, we periodically receive information about the location of the device. We collect device-specific information when you access our Services, including your hardware model, operating system and version, unique device identifiers, mobile network information, and information about the device's interaction with our Services. We may also identify other software running on the device (but will not collect any content from such software) for anti-fraud and malware-prevention purposes.

Vin65 may also collect non-personally identifiable information about your use of the Services, such as your access times, domains, browser type, version and language, operating system, and Internet Protocol (“IP”) addresses (together, “Use Data”).

Certain Other Forms of Information Collected
Cookies, Web Beacons, and Log Files We use various technologies to collect information, and this may include sending cookies to your computer or mobile device. Cookies are small data files that are stored on your hard drive or in device memory by a website. Among other things, cookies support the integrity of our registration process, retain your preferences and account settings, and help evaluate and compile aggregated statistics about user activity. We may also collect information using web beacons. Web beacons are electronic images that may be used in our Services or emails. We may use web beacons to deliver cookies, count visits, understand usage and campaign effectiveness, and determine whether an email has been opened and acted upon.  Like most standard website servers, our Services use log files. This includes IP addresses, browser type, internet service provider (“ISP”), referring/exit pages, platform type, date/time stamp, and number of clicks to analyze trends, administer the site, track users’ movement and gather demographic information for aggregate use. IP addresses are not linked to personally identifiable sites.

Information We Collect From Other Sources
We may also collect information about you from third parties, including but not limited to third-party verification services, credit bureaus, mailing list providers, and publicly available sources. In some circumstances, this information may include your Social Security or taxpayer identification number.

Third-Party Advertising and Analytics
We may allow third parties to serve advertisements in connection with our Services and to provide analytics services. These third parties may use cookies, web beacons, and other technologies to collect information, such as your IP addresses, identifiers associated with your mobile device or applications on the device, the browsers you use to visit our Services, pages viewed, time spent on pages, links clicked, and conversion information. This information may be used by Vin65 and other companies to analyze and track data, determine the popularity of certain content, deliver advertising and content targeted to your interests, and better understand your usage. We have no access or control over cookies or other features that third parties may use.  This policy does not apply to, and we are not responsible for, third-party cookies, web beacons, or other tracking technologies and we encourage you to check the privacy policies of these third parties to learn more about their privacy practices.

We also use information about you to personalize the Services, or to fulfill our obligations to you pursuant to any contracts or agreements that you may enter into with Vin65, or in connection with any of our programs, events or promotions in which you register or participate.  We may use your information to establish and activate your account, to provide assistance or support with respect to your use of our Services, to troubleshoot problems and to resolve disputes that may arise.  For example, when you sign up for a Vin65 account, we may associate certain information with your new account, such as information about other accounts you have or had with Vin65 and prior transactions you made through the Vin65 Services;
  3. We receive personally identifiable information from our Clients, who require we use your information so that they may fulfill their contractual obligations to you.  This may include processing orders that you place with our Clients, sending you emails regarding your accounts and orders with our Clients, and giving you update and announcements you have authorized our Clients to provide to you.  This information may include:  contact information such as name and shipping address; financial information such as credit card number, expiration date, billing address, and billing phone number.  This information is used for billing purposes to verify that the customer is of legal age, and to fill customer’s orders.  It is our policy to use your personally identifiable information consistent with the terms of the privacy policy of our Client who provided your information to us, but Vin65 relies on the representations of our Clients that they have received all proper consents to provide us your information and to use it in the manner in which they instruct us;
  4. We may use the content within your database to populate orders across any Client in Vin65, however, this will only happen if a credit card is used in a transaction and that same credit card has been used in other transactions across all Vin65 Clients;
  5. We may use information we collect to send you news and information about our Services and to communicate with you about products, services, contests, promotions, incentives, and rewards offered by us and select partners, including Clients;
  6. We may use information about you to track and analyze trends and usage in connection with our Services; to improve content, advertising or Services, to process and deliver contest and promotion entries and rewards; to protect our rights or property; to verify your identity; to investigate and prevent fraud or other illegal activities; and for any other purpose disclosed to you in connection with our Services;
  7. We may, or we may use third-party service providers to, process and store personal information in the United States and other countries;

Sharing Of Information

We may share personal information about you as follows:

  1. With our Clients on whose behalf you submit your information to us, or who originally submitted your information to us;
  2. With our Clients with whom we use the content within your database to populate orders across any Client in Vin65;
  3. With third parties that provide information processing services to us, that maintain and improve our Services, including service providers who access information about you to perform services on our behalf (e.g., fraud prevention and verification services), and including financial institutions, processors, payment card associations, and other entities that are part of the payment or transfer process;
  4. In response to a request by law enforcement or other governmental entity or court order or subpoena; if under a legal obligation to do so, to protect the integrity of our company if we believe that a user has committed unlawful or otherwise harmful acts; to protect our interest in connection with a legal proceeding; in emergency situation to protect health or safety; if we believe such disclosure is in your vital interest; or if we obtained your information from public sources;
  5. In connection with any merger or consolidation with, or sale of substantially all of Vin65, or it parent company WineDirect, Inc.’s assets to, an affiliated entity or a third party, in which case such other entity will be informed of its obligations with respect to your information under this Privacy Policy;
  6. If we believe that disclosure is reasonably necessary to comply with any applicable law, regulation, legal process, or governmental request; to enforce applicable agreements or policies; to protect the security or integrity of our Services; and to protect us, our Sellers, end users, or the public from harm or illegal activities; and with your consent.

We may also share aggregated, non-personally identifiable information with third parties.

Security

Vin65 takes appropriate and commercially reasonable measures, including administrative, technical, and physical safeguards, to help protect personal information from loss, theft, misuse, and unauthorized access, disclosure, alteration, and destruction.  Vin65 is PCI compliant.  We will make all commercially reasonable efforts to keep the website secure from third party interference, including but not limited to unauthorized third party amendment of the website or third party access to any data not intended to be publicly available via the website.  However, no transmission of data over the internet is guaranteed to be completely secure, and Vin65 cannot guarantee the security of any information you provide to us.  Therefore, although we use industry standard practices to protect your privacy, Vin65 does not promise or guarantee, and you should not expect, that your personally identifiable information or communications with us will always remain private.  We will notify you immediately if any such third party interference occurs.

Your Options

Vin65 intends to keep your information secure, accurate and up-to-date.  You have the opportunity to review and correct any of your information we may have, or to restrict (“Opt-out”) of the uses we make of your information. In order to review, correct, or restrict your information we have on file, please take the following steps:

  1. Contact support@vin65.com (to review, correct, etc.)
  2. Visit the Customer Capture opt-out page to remove your winery from the program.

Location Information
When you first launch our mobile applications, you will be asked to consent to the application's collection of location information. We currently require this location information in order to provide our Services, so if you do not consent to this collection, you cannot use our Services. If you initially consent to our collection of location information, you can subsequently stop our collection of location information at any time by changing the preferences on your mobile device. If you do so, the Vin65 application will no longer function. You may also stop our collection of location information by following the standard uninstall process to remove Vin65 applications from your device.

Cookies
Most web browsers are set to accept cookies by default. If you prefer, you can usually choose to set your browser to remove or reject cookies; however, our Services may not function properly if you do so.

Preferences
You may change or correct information about yourself by logging into your Vin65 account at any time or by emailing us at info@vin65.com. You may also email us if you wish to deactivate your account. We may retain archived copies of information about you and your transactions for a period of time that is consistent with applicable law.  You may opt-out of allowing us to use or share the content within your database to populate orders across any Client in Vin65, however, this may interrupt or restrict you use of the Services.  You may opt out of receiving promotional emails or text messages from Vin65 by following the instructions in those emails or text messages. If you opt out, we may still send you non-promotional communications, such as digital receipts and messages about your account or our ongoing business relations.

Client Information
If you are a Client or otherwise have established a contractual relationship with Vin65, there is certain information we must maintain in order to properly service your account.  We retain certain information in our sole discretion that we need to process your information, fulfill your requests and our obligations to you, to maintain our records in accordance with industry practices, to resolve disputes, to troubleshoot problems to enforce this Privacy Policy, or for other valid business reasons; it is not Vin65’s policy to retain more information for longer than is necessary.  Please note that Vin65 will not remove your non-personally identifiable Use Data from our aggregated files.  Furthermore, please be aware that even if you request your information to be removed from our systems, such information may never be completely removed due to technical and legal constraints, including backup and disaster recovery systems, as we have the need to keep some information to track and record your requests.

Your California Privacy Rights
